Universuss - Terms of Service

1. Acceptance of Terms

By accessing and using the website https://universuss.com/ (the "Site") and purchasing or using a Founder's Card, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access the Site or purchase a Founder's Card.

2. The Founder's Card Program

2.1. Nature of the Program: The Founder's Card is a one-time purchase membership program that provides holders with specific benefits related to the future Universuss theme park ("the Park"). It is not an investment instrument, security, or share of ownership in Universuss or the Park. It does not grant any voting rights or equity.

2.2. Tiers and Benefits: Benefits, including but not limited to Park spending credit, free entry allowances, and discounts, are specific to the tier of the Founder's Card purchased (e.g., Explorer, Founder, Visionary). We reserve the right to finalize and clarify specific benefit details as the Park development progresses.

2.3. Guest Tickets: Where applicable, discounted guest tickets are valid only when the Founder's Card holder is present during the visit and are subject to the limits defined for their card tier.

3. Purchases and Payment

3.1. One-Time Fee: The Founder's Card requires a single, non-recurring payment.

3.2. Payment Processing: All payments are processed securely by our third-party payment processors. You agree to provide current, complete, and accurate purchase and account information for all purchases.

3.3. Pricing: We reserve the right to correct any pricing errors and to change prices for any future offerings at any time.

4. Use of the Site

You agree not to use the Site:
For any unlawful purpose.

• To solicit others to perform or participate in any unlawful acts.
• To violate any international, national, or local regulations, rules, laws, or ordinances.
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others.
• To upload or transmit viruses or any other type of malicious code.

5. Intellectual Property

The Site, its original content, features, functionality, and the Universuss name and logo are and will remain the exclusive property of Universuss and its licensors. The Site is protected by copyright, trademark, and other laws.

6. Disclaimer and Limitation of Liability

6.1. Park Development: The development and opening of the Park are contingent on various factors, including but not limited to, successful funding, construction, and regulatory approvals. While we are committed to this project, dates, designs, and plans are subject to change.

6.2. No Warranty: The Site and the Founder's Card are provided on an "AS IS" and "AS AVAILABLE"; basis. Universuss makes no warranties, expressed or implied, regarding the operation of the Site or the information, content, and materials included on it.

6.3. Limitation of Liability: To the fullest extent permitted by applicable law, Universuss shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or use, arising out of or in any way connected with your use of the Site or the Founder's Card.

7. Refund Policy

7.1. Cooling-Off Period: You have the right to withdraw from this contract and receive a full refund within 14 days of your purchase without giving any reason.

7.2. Pre-Opening Refund: If the Universuss Park project is officially canceled and does not open, you will be entitled to a full refund of your Founder's Card purchase price.

7.3. Post-Opening: Once the Park has opened, the Founder's Card is non- refundable, as the benefits (including the spending credit and free entries) are considered to have been delivered and are available for use.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of Latvia, without regard to its conflict of law provisions.

9. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be primarily resolved through good-faith negotiations. If a resolution cannot be reached, the dispute shall be settled in the courts of the Republic of Latvia.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of changes by updating the "Last Updated" date. By continuing to access or use our Site after those revisions become effective, you agree to be bound by the revised terms.
